Key projects in the field

We assisted global pharmaceutical company Novartis on a complex transaction with the Lithuanian Insurance Fund.
We helped Novartis to conclude a complex cost-volume agreement with the Lithuanian Insurance Fund in the framework of reimbursable medicine scheme.  The advice was provided during negotiation, drafting and enforcement. This transaction is one of the few with the Lithuanian Insurance Fund.
Normally, these types of transactions are non-negotiable and are concluded on “take or leave” principle. However, in this instance we have been successful in achieving what none have managed before. The complexity of the existing regulation also required extensive knowledge of pharmacy law and regulation.
We also advised Novartis on broader issues – regulatory (pharmacy), IP, employment and contract law matters.
We assisted software developer Pixelmator Team to protect its international distribution network
Pixelmator Team is a well-known Lithuanian software developer producing internationally recognized graphic editing software. We advised Pixelmator Team on a number of legal actions related to protection of their distribution network in foreign jurisdictions, particularly in the United States. We have also assisted the client to engage counsels in foreign jurisdictions and manage respective legal actions there.
We helped to reorganise the corporate structure of the entire Lithuanian electricity market
We acted as a leading legal counsel to the Government of the Republic of Lithuania in respect of the implementation of the EU Third Energy Package and the whole Lithuanian energy market restructuring plan.  We prepared necessary draft laws and regulations and coordinated different state authorities in relation to restructuring the energy sector companies. We helped to reorganise Litgrid AB and merge it with the owner of the strategic electricity transmission grid – Litgrid turtas AB. We helped to merge two major Lithuanian electricity production public companies – Lietuvos energija AB and Lietuvos elektrine AB – into a new public company, listed in NASDAQ OMX Vilnius stock exchange. Lastly, we helped to separate Litgrid, Lithuanian electricity transmission system operator, from the vertically integrated company Visagino Atominė Elektrinė UAB, which operates a nuclear power plant and related infrastructure.
